Terms of Service

The agreement between you and Northfile for use of the compliance platform.

Agreement

  • By creating a Northfile account or using the website, you agree to these Terms of Service.
  • If you use Northfile on behalf of a company or firm, you represent that you have authority to bind that organization.

The service

  • Northfile provides software to help ecommerce merchants and accounting firms prepare simplified Canadian GST/HST and QST filings, import sales data, store related documents, and initiate remittances through supported payment partners.
  • Northfile is not a law firm, accounting firm, or government portal. We do not provide legal or tax advice. You remain responsible for the accuracy of data you submit and for filings/remittances with CRA, Revenu Québec, and provincial agencies.
  • In-app “finalize” confirms your worksheet in Northfile; it is not electronic filing with a tax authority unless we expressly state otherwise for a specific jurisdiction.

Subscriptions and billing

  • Paid plans are billed through Stripe according to the provinces and options you select. Fees renew monthly until cancelled via the Stripe Customer Portal or as otherwise agreed.
  • Taxes on SaaS fees may apply. Failed payments may result in past-due status and suspension of features until resolved.

Acceptable use

  • Do not misuse the service, attempt unauthorized access, upload unlawful content, or interfere with other customers.
  • You must have rights to any sales files or credentials you connect, and you must not upload personal information beyond what is needed for compliance.

Confidentiality and data

  • Our handling of personal information is described in the Privacy Policy.
  • You grant Northfile a limited license to process your business and tax data solely to provide the service.

Disclaimer and liability

  • The service is provided “as is.” To the fullest extent permitted by law, Northfile disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Northfile is not liable for indirect, incidental, or consequential damages, or for penalties arising from late or incorrect remittances where the root cause is inaccurate source data, user error, or third-party outages (including Stripe, payment partners, or tax authority systems).
  • Our aggregate liability for claims relating to the service is limited to the fees you paid to Northfile in the three months preceding the claim.

Termination

  • You may stop using Northfile and cancel your subscription as provided in the billing portal.
  • We may suspend or terminate access for breach of these terms, non-payment, or risk to the platform or other users.

Governing law

  • These terms are governed by the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict-of-law rules.
